INTERNATIONAL AGREEMENT

This International Agreement ("Agreement") is entered into as of [AgreementDate], by and between:

WHEREAS both parties wish to enter into a formal agreement regarding [SubjectMatterOfAgreement], the parties hereby agree as follows:

1.PURPOSE OF AGREEMENT The purpose of this Agreement is to define the terms and conditions under which [PurposeDescription]. Both parties agree to fulfill their respective obligations as outlined herein.

5.CONFIDENTIALITY 5.1 Both parties agree to keep all information shared under this Agreement strictly confidential. 5.2 Neither party shall disclose any confidential information to any third party without prior written consent of the other party. 5.3 This confidentiality obligation shall survive termination of this Agreement for a period of [ConfidentialityPeriodYears] years.

6.INTELLECTUAL PROPERTY 6.1 All intellectual property created during the performance of this Agreement shall be owned by [IPOwnerParty]. 6.2 Neither party shall use the other party's name, logo, or brand without prior written consent.

7.REPRESENTATIONS AND WARRANTIES Each party represents and warrants that: 7.1 It has full legal authority to enter into this Agreement. 7.2 The execution of this Agreement does not violate any applicable law or existing agreement. 7.3 All information provided to the other party is true, accurate, and complete.

8.TERMINATION 8.1 Either party may terminate this Agreement by giving [NoticePeriodDays] days written notice to the other party. 8.2 Either party may terminate immediately in case of material breach by the other party that remains uncured for [CurePeriodDays] days after written notice. 8.3 Upon termination, all outstanding payments shall be settled within [SettlementDays] days.

9.DISPUTE RESOLUTION 9.1 Both parties shall first attempt to resolve any dispute through good faith negotiation within [NegotiationDays] days. 9.2 If unresolved, the dispute shall be referred to arbitration under the rules of [ArbitrationBody]. 9.3 The seat of arbitration shall be [ArbitrationCity], [ArbitrationCountry]. 9.4 The language of arbitration shall be [ArbitrationLanguage].

11.FORCE MAJEURE Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control including acts of God, war, natural disasters, pandemic, or government action.

12.ENTIRE AGREEMENT This Agreement constitutes the entire understanding between the parties and supersedes all prior negotiations, representations, or agreements relating to the subject matter herein.
