This IT Service Agreement is made on [AgreementDateITUnique] between M/s [ServiceProviderCompanyNameUnique], having its office at [ServiceProviderAddressUnique] (hereinafter referred to as the “Service Provider”), and M/s [ClientCompanyNameUnique], having its office at [ClientAddressUnique] (hereinafter referred to as the “Client”).

WHEREAS the Client desires to obtain IT-related services and the Service Provider agrees to provide such services under the terms and conditions set forth herein.

NOW THIS AGREEMENT WITNESSETH AS UNDER:

1. SERVICES: The Service Provider agrees to provide the following IT services: [ServiceDescriptionUnique], including but not limited to development, maintenance, support, or consultancy as agreed between the parties.

2. DURATION: This agreement shall commence from [ServiceStartDateUnique] and shall remain in effect until [ServiceEndDateUnique], unless terminated earlier in accordance with this agreement.

3. PAYMENT TERMS: The Client agrees to pay a total amount of PKR [ServiceTotalAmountUnique], out of which PKR [AdvancePaymentITUnique] shall be paid in advance and the remaining PKR [RemainingPaymentITUnique] shall be paid as per agreed schedule [PaymentScheduleDetailsUnique].

4. OBLIGATIONS: The Service Provider shall perform services with due diligence and professionalism, while the Client shall provide necessary information, access, and cooperation required for completion of services.

5. CONFIDENTIALITY: Both parties agree to keep confidential all proprietary and sensitive information shared during the course of this agreement.

6. TERMINATION: Either party may terminate this agreement by giving [TerminationNoticePeriodUnique] written notice to the other party.

7. LIABILITY: The Service Provider shall not be liable for any indirect or consequential damages arising out of the services provided.

8. GOVERNING LAW: This agreement shall be governed by and construed in accordance with the laws of Pakistan.
