This Vendor Agreement (“Agreement”) is made and executed on this [AgreementDateText], at [AgreementCityName], Pakistan.

BETWEEN

(which expression shall include its successors, legal heirs, and assigns)

AND

(which expression shall include its legal heirs, successors, representatives, and assigns)

The Company and the Vendor shall hereinafter be collectively referred to as “The Parties”.

Purpose of Agreement

Maintain confidentiality of Company information

Obligations of the Company

The Company agrees to:

Provide necessary information and cooperation

Make timely payments

Facilitate operational coordination

Confidentiality

Both Parties agree to keep all business, technical, financial, and operational information strictly confidential.

Termination

This Agreement may be terminated:

By either Party with [NoticePeriodDays] days prior written notice

Immediately in case of breach of contract, fraud, or misconduct

Liability

The Vendor shall be responsible for any loss, damage, or legal consequences arising due to negligence, misconduct, or breach of this Agreement

Governing Law & Jurisdiction

This Agreement shall be governed by the laws of the Islamic Republic of Pakistan, and any dispute shall be subject to the jurisdiction of the courts at [JurisdictionCity].

Entire Agreement

This document constitutes the entire agreement between the Parties and supersedes all prior understandings or agreements.
